Board members are rarely elected at annual meetings. When a board vacancy occurs it is generally as in almost always filled by the board itself. The annual meeting merely re-elects the board. The exception, and it is exceptional, would be a proxy fight. That's man bites dog stuff that gets itself into the news.

Still waiting on news of this Disney shareholder revolt against the activist board.

We need to know more about the $100,000 donation Disney made to DeSantis just before the gay dustup. Disney wanted relief from the $2 billion debt that Reedy Creek carried and once rid of it, they gain a $163 million tax break. Don't say gay is just a way to set the whole thing off. Disney and DeSantis are in the same bed, we are just too blind to see it.

CEOs of long-term successful public companies look after 3 constituencies: shareholders, customers and employees, not in any particular order. Private companies do pretty much the same. Think about Chik-FiL-A as an example. The public company Board is usually tasked with 1 thing. Hiring and firing the CEO. Sometimes they take on a 3rd party audit function but not usually. The private company board is usually hired by the majority shareholders/family to do the same. Sometimes private companies are

owned by foundations so could have a different objective altogether.
 

What you stated is patently, well, erroneous. No biggie, lots of folks misunderstand corporate governance.

At the bill signing ceremony Friday, DeSantis said Disney lied about the content of the education law but that he viewed the company’s vow to fight the law as unacceptable.

“You’re a corporation based in Burbank, California, and you’re gonna marshal your economic might to attack the parents of my state. We view that as a provocation, and we’re going to fight back against that,” DeSantis said.

France and Germany have armed Russia with nearly $300 million worth of military equipment that is “likely being used in Ukraine,” according to an exclusive report, based on European Commission data, in The Telegraph, a British newspaper. 

The hardware was sent, the newspaper reports, despite a European Union-wide embargo on arms to Russia that was imposed following the Russian annexation of Crimea in 2014. 

Germany has defended the sales, saying the items were "dual-use" equipment and that Russia had said they were needed for civilian, not military use. 

The newspaper said the equipment sent to Russia included “bombs, rockets, missiles and guns.” French firms also sent “thermal imaging cameras for more than 1,000 Russian tanks as well as navigation systems for fighter jets and attack helicopters,” The Telegraph reported.
